1. Copyright and Grant of Rights
The Author warrants that they have all necessary copyright in the Book (book, manuscript, work of art, or other document) as creator and/or by license and will retain copyright during the term of this Agreement. The Author retains copyright, but grants eMerge the right and license to print, reproduce, distribute, and display the Book in paper and electronic formats worldwide, as needed to fulfill this Agreement.
2. Publishing Services
The Author engages eMerge to provide publishing services, making the Book available for retail sale via conventional publishing, print-on-demand, internet publicity, and retailing. Services are based on the publishing package chosen by the Author.

eMerge may provide additional publishing services at mutually agreed prices.
3. Services to be Performed by eMerge
· Legal & Administrative: Arrange ISBN and Bookland EAN/ISBN barcode unless otherwise directed by Author.
· Page Layout: Layout pages into a master bookblock file (based on Author’s samples), produce bound proof for approval, and archive master file for the Agreement’s duration.
· File Preparation: Produce a digital master book-block from Author’s postscript file or other format, and archive for the duration of the Agreement.
· Cover Creation: Scan or adjust Author-provided artwork and assemble a full-color cover, produce a digital master cover file, and archive it for the Agreement’s duration.
· Pricing: Determine single-copy printing cost and minimum retail price, with discounts for large orders.
· Printing & Fulfillment: Manufacture books on demand as orders are received, with median fulfillment times under 10 business days (excluding shipping; longer for large runs).
· Online Listing: List Book on Amazon and Barnes & Noble (all packages).
4. Author’s Responsibilities
· Provide scan-ready original art (or suitable digital scans), the text in a digital, typed, or handwritten file (additional fees for handwritten), plus samples and specifications for the Book's appearance.
· Provide a usable file of inside pages and detailed specifications for appearance and size.
· Review and approve proofs promptly; post-approval changes incur additional costs.
· Determine a reasonable retail price in consultation with eMerge.
· Prepare, in cooperation with eMerge, promotional text for eMerge’s website and announcements.
5. Additional Author Agreements
· Allow eMerge to distribute free promotional copies of the Book as deemed necessary, at no cost to the Author.
· Assume all liability for Book content and hold eMerge harmless from any resulting claims.
· Refrain from unsolicited emails (“spam”) or newsgroup postings mentioning or referencing eMerge in any form.
6. Mutual Agreements
· This Agreement is non-exclusive; either party may terminate at any time with written notice, subject to payment of outstanding obligations.
· Governing law is that of the State of Florida. Any dispute shall be resolved by binding arbitration in Florida.
· eMerge does not guarantee uninterrupted or error-free website operation but will act with due diligence and care.
· eMerge is not responsible for loss or damage to Author’s submitted materials (manuscripts, CDs, DVDs, disks, artwork, photographs, etc.).
· eMerge may subcontract any or all of its services.
· This Agreement may be updated by eMerge to reflect evolving services, provided Section 6.1 is retained.
